Hyperliquid Strategies Inc (NASDAQ: PURR) said a subsidiary has filed to become a U.S. futures commission merchant, a step that could help bring permissioned perpetual markets built on Hyperliquid into a regulated American framework.
In its results for the quarter ended September 30, 2026, the HYPE treasury company framed the FCM application as how it intends to help move Hyperliquid-deployed markets onshore, while warning that timing and approval are not assured.
For Bitcoin investors watching bitcoin futures infrastructure, the bigger story is clearer rails: more regulated pathways for crypto derivatives tend to deepen liquidity and institutional access around BTC itself.
The bigger question now is whether this FCM bid, together with recent exchange-operator moves, can pull more bitcoin futures activity into fully supervised U.S. venues.
What Did Hyperliquid Strategies Actually File?
According to the company’s November 5, 2026 press release, a subsidiary of Hyperliquid Strategies has applied to become a futures commission merchant.
Subject to regulatory approval, that FCM would carry U.S. client accounts for permissioned markets deployed on Hyperliquid under HIP-3.
HIP-3 is described as optional deployer functionality that would let independent operators launch permissioned markets on Hyperliquid’s onchain infrastructure while the chain stays a neutral layer.
CEO David Schamis tied the move to the firm’s treasury strategy: “We deployed $802 million this quarter and filed an application to become a futures commission merchant.”
He called the HYPE accumulation and the FCM setup “the same bet,” arguing that owning HYPE captures protocol economics while the FCM aims to bring markets onshore.
The company was explicit that there can be no assurance as to the timing or outcome of the application or of regulatory approval for permissioned HIP-3 markets.
We believe that candor matters. An application is progress, not a finished product.
How Does This Fit Broader U.S. Perpetuals Momentum?
The FCM filing lands beside a separate, official push from Intercontinental Exchange.
On October 29, 2026, ICE said it agreed with Trade[XYZ] to bring Hyperliquid-based perpetual markets onshore in the United States, subject to regulatory approvals.
ICE said it would be the exclusive operator of Trade[XYZ]’s regulated markets and intends to seek approvals for a dedicated retail market and clearing structure built on Hyperliquid.
Once approvals are obtained, KYC/AML-verified customers would be expected to access those markets through FCMs that become members of the platform.
That is the plumbing layer bitcoin futures traders care about: supervised clearing, identity checks, and familiar brokerage rails.
As we covered when the CFTC cleared a path for stock perps and bitcoin futures context, U.S. derivatives policy has been inching toward more product flexibility.
For us, Hyperliquid Strategies’ FCM bid looks like another piece of that same institutional mosaic.
What Do the Quarterly Numbers Say About the Bet?
Hyperliquid Strategies reported $12.3 million in staking revenue and validator commissions plus $1.0 million in interest income for the September quarter.
Net income was $620.6 million, driven primarily by $803.0 million in net unrealized gains on HYPE holdings, partly offset by a $172.3 million tax provision.
Total assets reached $3,764.3 million as of September 30, 2026, including $254.6 million in cash and cash-like instruments and about 38.52 million HYPE tokens valued at $3,505.3 million at $90.99 per token that day.
The firm said it deployed $802 million in the quarter, including $785 million to buy 9.1 million HYPE tokens, lifting the treasury from 29.3 million tokens at June 30 to 38.5 million at September 30.
By October 28, holdings had risen further to 38.9 million HYPE at a blended cost of $56.35, with $245.3 million in remaining cash and cash-like instruments.
Those figures are company-reported. Token prices move, and unrealized gains can reverse.
Still, the scale shows how aggressively public-market capital is lining up behind onchain derivatives infrastructure that often prices Bitcoin and crypto risk around the clock.
Why Should Bitcoin Investors Care About Regulated Perps?
Bitcoin was trading near $76,100 on CoinGecko at the time of writing, after a session that saw a 24-hour range roughly from about $75,200 to $80,700.
That kind of swing is exactly why deeper, supervised futures and perpetual markets matter.
When institutions can hedge and express directional views on BTC through regulated intermediaries, spot Bitcoin often benefits from tighter spreads and more durable participation.
We would look for three practical tells in the weeks ahead: progress notes on the FCM application, clarity on which HIP-3 markets would be permissioned for U.S. clients, and how ICE-Trade[XYZ] approvals advance in parallel.
Derivatives volume spikes can also flush leverage quickly. As we noted when crypto liquidations topped $1 billion, forced selling can look scary in the moment and still leave Bitcoin’s longer structure intact.
For us, the constructive read is that builders are spending real legal and balance-sheet capital to bring bitcoin futures-style products closer to U.S. compliance norms.
Could Onshore Bitcoin Futures Liquidity Strengthen From Here?
None of this guarantees near-term price direction.
An FCM registration, if granted, would still need live permissioned markets, member brokers, and customer demand before it changes day-to-day BTC tape.
We believe the signal is still bullish for Bitcoin’s market architecture.
Fixed supply does not change because a treasury firm files paperwork. What changes is the menu of regulated ways large accounts can hold, hedge, and trade exposure.
Watch the Nasdaq risk tone, Treasury yields, the dollar, and U.S. spot Bitcoin ETF flow prints alongside any FCM or HIP-3 updates.
If supervised perpetual and futures rails keep expanding, investors may find it easier to stay allocated through volatility rather than stepping aside.
The coming weeks will reveal how fast regulators and applicants can turn intent into live U.S. access. And if bitcoin futures liquidity deepens onshore, that would be another quiet win for Bitcoin’s institutional case.
