Canton Coin has just become one of the clearest examples yet of US regulators drawing a line between crypto networks and securities.
In a November 3 no-action letter, the SEC’s Division of Corporation Finance classified the token as a digital commodity under the agency’s latest crypto framework.
Staff said they will not recommend enforcement over Canton Coin’s programmatic issuance without securities registration, as long as the network follows the conditions set out in its request.
We believe this is another step toward the rulebook the industry has been asking for, and a constructive backdrop for Bitcoin and the wider market.
What Did the SEC Actually Decide?
The letter answers an October 30 submission from Canton’s legal representatives, who asked for clarity on how the token should be treated.
Signed by Deputy Chief Counsel Jonathan Ingram, the response said Canton Coin is “intrinsically linked to and derives its value from the programmatic operation of the Canton Network.”
On that basis, staff said they would not recommend enforcement under Section 5 of the Securities Act or Section 12(g) of the Exchange Act.
The relief covers tokens minted programmatically by Super Validators, Validators and application providers under the arrangements described.
It is not a blanket approval of every transaction involving the token, and it rests on the facts Canton presented.
Why Does Canton Coin Qualify as a Digital Commodity?
Three factors stood out in the SEC’s reasoning.
- Utility: the token’s value comes from the network’s programmatic operation.
- Market dynamics: staff weighed supply and demand, along with representations that holders do not rely on profits from the essential managerial efforts of others.
- Governance: the division accepted that the network has no “central party” under the SEC’s March interpretation.
That last point is important.
Decentralization is the same quality that has long set Bitcoin apart, and it is now being written directly into how regulators assess other networks.
How Does This Fit the SEC’s New Crypto Framework?
The letter arrived one day after the SEC updated its crypto asset FAQs.
On November 2, the Division of Corporation Finance added three questions explaining how network functionality, governance and centralized control affect digital commodity classification.
The updated answers say participation in a foundation or governance body does not automatically mean centralized control.
Instead, staff look at whether any person or group can decide who accesses the network, control validators or change its operating rules.
That guidance builds on the SEC’s March 17 interpretation, which set out categories for digital commodities, collectibles, digital tools, stablecoins and digital securities.
Andreessen Horowitz partner Miles Jennings welcomed the decision on X: “Incredible. @CantonNetwork just received no action relief from the SEC for its network token.”
He argued the March taxonomy and the follow-up FAQs have created a clearer regulatory pathway for network tokens.
Who Is Already Building on Canton Network?
Canton Network, developed by Digital Asset, provides blockchain infrastructure for financial institutions handling tokenized assets, payments and settlement.
On October 28, the Depository Trust & Clearing Corporation launched its tokenization service, initially integrating Canton Network alongside its private Besu blockchain.
Twenty institutions signed access agreements, including JPMorgan, Bank of America, Fidelity Investments, Morgan Stanley and State Street.

In May, Swiss lender AMINA became the first FINMA-regulated bank to offer custody and trading of the token.
In June, Digital Asset raised $355 million in a round led by a16z crypto, with Citadel Securities, HSBC, BNP Paribas and Coinbase Ventures among the investors.
Investment products have followed the infrastructure.
In May, Bitwise launched a Canton exchange-traded product on Deutsche Börse Xetra under the ticker BWCC, tracking the token through Kaiko’s reference rate with a 0.85% annual expense ratio.
In the same month, 21Shares introduced a US product offering direct exposure to the token.
That is the same path Bitcoin travelled: first infrastructure, then regulated access, then mainstream investment wrappers.
What Could This Mean for Bitcoin?
Bitcoin’s own status as a commodity has been widely accepted for years.
What is changing is the environment around it.
Clear categories reduce legal uncertainty for banks, brokers and asset managers, and that tends to bring more institutional capital into digital assets as a whole.
We believe Bitcoin, as the most liquid and most decentralized asset in the space, stands to benefit most from that flow over time.
It also comes as the market finds its footing, with Bitcoin reclaiming $78,000 after the midterms.
Just as importantly, a regulator explaining its reasoning in writing gives builders a playbook, rather than leaving them to guess.
Regulation that rewards decentralization is regulation that plays to Bitcoin’s strengths.
The coming days will show whether other networks rush to seek similar relief, and how quickly institutions put this new clarity to work.
